Affiliate Partner Agreement

The Company hereby appoints the Affiliate as a non-exclusive partner to market, promote, and refer prospective customers to the Company's digital platform, SalesBook and associated software services ("Services"), in accordance with the terms herein.

The Affiliate shall earn a commission on net revenue generated from qualified paid subscriptions directly originating from the Affiliate's unique tracking link or promo code, based on their assigned Partner Class:

Class 1 (Standard Partner) — 10% commission

Default tier for new affiliates upon initial registration and approval.

Class 2 (Silver Partner) — 20% commission

Assigned upon achieving 15+ active paid user referrals or verified volume target.

Class 3 (Gold VIP Partner) — 30% commission

Exclusive VIP tier for high-volume partners, creators, and strategic sales partners.

3.1 Net Revenue: Commission is calculated on net subscription fees received by the Company, excluding VAT/taxes, chargebacks, processor fees, and refunds.

3.2 Payout Schedule: Commissions are calculated on a monthly calendar basis and paid within 15 business days following the month-end, subject to a minimum payout threshold of R500 (or equivalent USD amount).

3.3 Refund Deduction: If a referred user cancels or requests a refund during an eligible refund period, the attributed commission will be deducted from future balance payouts.

The Affiliate agrees to market SalesBook professionally. The Affiliate shall not engage in spamming, bidding on trademarked keywords, making false earnings claims, or using deceptive advertising tactics.

The Company grants the Affiliate a limited, non-transferable, revocable license to use official SalesBook logos, marketing banners, and brand assets solely for authorised promotional purposes. The Affiliate shall not modify brand assets without prior written consent from Christian Strauss Bornman / Shongololo Digital.

Nothing in this Agreement shall create a partnership, joint venture, agency, or employment relationship between the parties. The Affiliate acts entirely as an independent contractor and has no authority to bind or make commitments on behalf of the Company.

7.1 Duration: This Agreement commences on the Effective Date and continues until terminated by either party.

7.2 Termination for Convenience: Either party may terminate this Agreement at any time with 7 days' written notice.

7.3 Immediate Termination: The Company reserves the right to terminate this Agreement immediately and forfeit unpaid commissions if the Affiliate violates brand guidelines, engages in fraud, or harms the Company's reputation.

The Company shall not be liable for indirect, incidental, or consequential damages resulting from platform downtime or affiliate tracking discrepancies. The Affiliate agrees to indemnify and hold harmless NUERA WEALTH CODE (PTY) LTD, Christian Strauss Bornman, and its directors against any claims arising from unauthorised representations made by the Affiliate.

This Agreement is governed by and construed in accordance with the laws of the Republic of South Africa. Both parties consent to the jurisdiction of South African courts for any legal proceedings.
