End User License Agreement (EULA)

Subject to your compliance with the terms of this Agreement, Shongololo Digital grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, access, and use the Application strictly for your internal business or personal use on supported mobile and web devices.

You agree that you will not, and will not permit any third party to:

Modify or reverse engineer

Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Application.

Unauthorised distribution

Copy, distribute, rent, lease, sell, sublicense, host, or commercially exploit the Application or any portion thereof without prior written consent from Shongololo Digital.

Bypass security

Circumvent, disable, or interfere with any security-related features, digital rights management (DRM), or technical restrictions of the Application.

Unlawful use

Use the Application for any unlawful, illegal, fraudulent, or unauthorised purpose, or in violation of any applicable local, national, or international law or regulation.

System abuse

Transmit viruses, worms, malware, or any code of a destructive nature through the Application.

3.1 Ownership: The Application, including but not limited to its visual interfaces, code, software, graphics, branding, icons, design, workflow automation assets, SOP frameworks, and prompt structures, is owned by NUERA WEALTH CODE (PTY) LTD (trading as Shongololo Digital) and is protected by intellectual property, trademark, and copyright laws.

3.2 Reservation of Rights: All rights not expressly granted to you in this Agreement are reserved by Shongololo Digital. This EULA does not grant you any ownership or title in or to the Application.

4.1 Data Ownership: You retain ownership of all data, client lists, transaction logs, and content submitted or generated through your use of the Application ("User Data").

4.2 Data Usage & Protection: Shongololo Digital respects your privacy and processes data in accordance with applicable data protection legislation. You grant Shongololo Digital a non-exclusive license to use, store, and process User Data solely to provide, maintain, and optimise the Application for you.

5.1 Digital Storefronts: If you download or access the Application through a third-party digital storefront (such as Google Play), your access and license are also subject to the terms and ratings guidelines of the respective storefront and regulatory authorities (such as the International Age Rating Coalition / IARC).

5.2 Integrations: The Application may enable access to third-party services or platforms (e.g., messaging tools, payment engines, or workspace tools). Shongololo Digital does not control and is not responsible for the availability, content, or performance of any third-party services.

Shongololo Digital may, from time to time in its sole discretion, develop and provide updates, bug fixes, patches, or feature additions to the Application. All updates shall be deemed part of the Application and subject to the terms of this Agreement. Continued use of the Application following an update constitutes acceptance of such modifications.

7.1 Term: This Agreement is effective from the date you install, access, or use the Application until terminated by either party.

7.2 Termination by You: You may terminate this Agreement at any time by deleting the Application and discontinuing all use.

7.3 Termination by Us: Shongololo Digital may terminate this Agreement immediately without notice if you fail to comply with any provision of this EULA. Upon termination, all rights granted to you under this EULA will immediately cease, and you must stop using and delete all copies of the Application.

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHONGOLOLO DIGITAL DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. SHONGOLOLO DIGITAL DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NUERA WEALTH CODE (PTY) LTD, SHONGOLOLO DIGITAL, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL, OR PUNISHABLE DAMAGES WHATSOEVER (INCLUDING LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL LOSSES) ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE).

This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in South Africa.
